What is the service we offer?
Our service enables you ownership-like interaction with rare assets of your choosing.
As a user of our service, you gain access to rare assets of your choosing, and can use them in proportion to the share of usage you choose. For example, you can acquire certain share of days of access (and use) of a vintage car per season.
Equally, as a user of a given asset, you participate in eventual proceeds and costs such asset generates. These include, among others, proceeds if and once asset is re-sold to the market, any income generated by the asset, running and maintenance cost, etc. Your participation in these proceeds and cost is according to your share of use.
In addition, you are invited to participate in asset's governance process, and receive invitations to events we organise along the asset-related themes.
As you enjoy the interaction with the assets of your choosing, we make sure the assets are available for you, maintained, properly stored, insured, etc. We also take care of any potential work to be done, such as cleaning, repairs, restorations, etc.
Why to share an asset?
We have designed our service reflecting the fact that many rare assets are high-expenditure items if acquired and used individually, and, once acquired, only used sporadically.
Our service allows you to decide the level of interaction you aspire, and we allow other clients with similar passion to co-use the same asset. This enables you to gain access to the assets of your choosing at considerably lower cost, compared with an individual ownership model, with no negative impact on your experience or your individual interaction with the asset.
The shared ownership aspect also comes to light during asset acquisition, ongoing asset cost, and any asset proceeds. All these are shared among all clients interacting with the asset, based on their respective shares of use.
How is shared ownership different from individual one?
The way we designed our model, you obtain certain utility, which consists of rights (asset access and use, asset governance, asset proceeds) and obligations (asset related running- and one-off cost). The utility you obtain is a subset of the total asset utility, as we allow multiple clients with similar asset preferences to share the asset. While you obtain the utility, rare2share (in the future we may allow other entities/individuals) remains the formal owner of the asset.
In a traditional ownership model, you are the formal owner of the asset hence you also own the entire asset utility (the concept of asset utility is less relevant in case of a single owner). With it, you are responsible for all investment, entire running cost, maintenance, etc.
What are the benefits of the shared ownership model?
Main benefit is that you enjoy the full experience and all benefits of the actual ownership at significantly lower acquisition and running cost. This is in particular true if you are a sporadic to medium intensity user of a given asset, e.g., using it for 10-30% of its available time (which, in many cases and for many assets, is an above-average actual use as a traditional single-owner).
Additional benefit is that you have close-to-no effort related to asset sourcing, maintenance, and potential re-selling, as we take care of all that for you. Equally, you enjoy high degree of flexibility in terms of usage - when and where you want to interact with the objects of your passions.
While you are sharing the asset acquisition and running/maintenance cost, you enjoy full benefits of the regular ownership, i.e., you can get involved in the decision making process about any major asset life-cycle related decisions, and participate in any potential revenue generated from the asset, mainly potential asset's appreciation or rental income*.
*Important note: the main purpose of the service we offer is a convenient and low-cost access to assets of individual passions; we do no promise nor guarantee any value evolution of those assets, nor can we guarantee any limits to potential value losses. At no point in time, our service intends to offer any means of financial return.
How are assets sourced and who is the formal owner?
At the moment, we source the assets for you. While doing so, we work with market experts and category-specific curators who have privileged access to the respective rare goods markets.
Once we find an interesting asset, we offer it to you and other potential clients in an asset initial offering phase. During this phase, you can decide if, and how much of the asset utility you want to secure.
Upon finding enough interest, we acquire the actual asset and take it on our books. We become, hence, the formal owner of the asset. You obtain asset utility according to the usage share agreement in exchange for a returnable asset deposit.
Upon receiving the asset deposit, we remain formal owner of the asset, and you receive an asset specific credit note. Once (and if) the asset is sold back to the market, the proceeds (net of any potential asset sell-related cost) are distributed to you and all other asset credit note holders according to the usage shares.
How do you get access to the assets?
Once you secure access to a given asset of your choice, and put down the respective asset deposit, you can schedule your asset interaction easily via an App, online portal, by texting, or by calling us.
Scheduling takes into account available usage slots, your specific usage agreement, general asset availability, etc. Actual asset availability may be impacted by external conditions beyond our control, such as weather (in which case we will offer you an alternative interaction/usage slot).
For how long can you use the asset?
Typically, asset usage is offered for a period of 1-3 years, however the details depend on specific asset. The intended usage period / asset holding period is made transparent with each asset offering.
Usage period / asset holding period can also be changed and adapted within the governance process.
What is the cost of the service?
To obtain the asset utility, you need to put down a returnable asset deposit. The deposit amount is derived from the value of the asset and your intended intensity of use. With each asset offered, we inform you what the asset deposit is and the respective utility it guarantees you.
The asset deposit is returnable (subject to value adjustment, and transaction cost) upon asset's re-sell back to the market. Obtaining the utility, as well as reselling the asset to the market has a cost (fee to share-in-rare) in form of a fixed-% fee, which is made transparent with each asset offering in the asset terms sheet.
The utility you receive entitles you to a respective share of any potential future proceeds generated by the asset. In addition, the utility also comes with obligation to pro-rata participation in asset related running cost such as maintenance, storage, insurance, etc. Estimation of these running cost is available for each asset during the asset initial offering phase. The running fees are regularly adjusted based on the actually accrued cost and your share of use.
Any individual asset usage cost, such as transport of an asset to or from a specific location, incremental insurance, individual cleaning, or any other individually agreed services, is charged to you individually.
How can the usage intensity be adapted on the go?
You can increase, reduce, or terminate the asset interaction. Usage increase can be arranged effective immediately, provided asset's availability. Usage reduction or termination is possible with a 6-months notice period.
Alternatively, you can transfer (in part or entirely) the utility to other clients with a 4-weeks notice period, provided mutual agreement about utility transfer (especially the cost of such transaction) between you and the other client.
Details of the terms are specified in the usage agreement, as well as in the individual asset-use contracts.
How do you get your money back if you want to?
Upon regular termination of the use, the assets are resold back to the market. You will receive your asset deposit, adjusted for potential value adjustment as well as any transaction related fees.
In case of earlier termination (return of your utility to rare2share per regular terms of use), you can either transfer the share to other client (by end of any month), or return it to rare2share (with a 6-month termination notice, or earlier if mutually agreed).
If you transfer your shares to other clients, the value of the transferred utility (and hence the adjusted amount for your deposit to be returned to you) is determined between you and the respective client. Such transaction requires explicit agreement of rare2share and is subject to a % transaction fee.
If you return your shares to rare2share, the returnable asset deposit value is determined through an external asset valuation process, upon which you will receive your asset deposit, adjusted for potential value adjustment as well as any transaction-related fees.
What other benefits are there beyond the asset use/interaction?
The utility you obtain grants you (beyond the asset use, and pro-rata future proceeds from the assets) access to invite-only specific events which rare2share organises. Examples of those events include exhibitions, community gatherings, creative workshops, skill trainings, asset specific usage events such as car rallies, etc. Participation is, of course, optional. Participation may incur cost, which is made transparent prior to singing-up for any of the events, and bared individually.
As a utility holder, you are also invited to participate in the decision making process related to assets you are holding the utility of. This process is called asset governance, and is a democratic decision making process centred around key asset life-cycle decisions. As part of the governance process, you can also propose own initiatives in connection with the asset.
What influence do you have over the assets?
As an asset utility holder, you can participate in the asset governance process.
Governance process is a democratic decision process, giving you the right, according to your share of use, to vote on key decisions along the asset lifecycle, such as rules around the exact asset use, decisions on eventual asset re-sale, any asset modifications, etc.
Participation in the governance process is optional, but we encourage all clients to actively participate and express their choices.
As a utility holder, you can only participate in the governance process of the assets you are entitled to use.
How does the asset governance works?
Asset governance is a democratic voting process about any major asset related decision. Typical asset decisions include asset use, asset sales, specific options during maintenance, etc. Governance participants can also propose own initiatives to vote on.
Participation in the governance process is optional, but it is recommended that asset users use their right to participate, if they desire to stay involved in key asset decisions.
The entire process is managed online via dedicated polling service. Results and outcomes are communicated in due time to all asset users. Decisions are binding and the asset owner will act accordingly to the decisions taken.

What is the legal frame of the service?
General user agreement, supplemented with asset-specific agreement (one per each asset you desire to use), form the core of the legal framework we use.
In addition, each individual asset-specific agreement is supplemented with terms-of-use, which form part of the contractual agreement and specifies in detail the rules how to interact with and use the asset.
